Job DescriptionPrivate Equity Mergers & Acquisitions – Junior Associate Attorney

Direct Counsel is seeking a Junior Associate Attorney to join a leading national law firm’s Private Equity group. The ideal candidate will have some experience with, or a demonstrated interest in, private M&A and growth equity transactions, along with a foundational understanding of transactional diligence and deal execution.

Locations: Boston, MA; New York, NY; San Francisco, CA; Santa Monica, CA

Qualifications

0–2 years of experience in private M&A, growth equity, or related transactional matters.
Some experience with, or a demonstrated interest in, private M&A and growth equity transactions.
Basic understanding of the diligence process, ancillary workstreams, and organizing signing and closing processes.
Strong judgment and ability to proactively communicate with internal and external stakeholders.
Ability to effectively manage client and counsel relationships.
Outstanding academic credentials and comparable law firm experience.
Excellent written and verbal communication skills.
Admission to the relevant state bar, or eligibility to obtain admission promptly.
Deal sheet required.

Responsibilities

Assist with private M&A and growth equity transactions.
Support due diligence processes and related ancillary workstreams.
Assist with organizing and coordinating signing and closing processes.
Conduct legal research and analysis in support of transactional matters.
Draft and review transaction-related documents and correspondence.
Collaborate with attorneys, clients, and opposing counsel throughout the transaction lifecycle.
Manage multiple workstreams while maintaining strong attention to detail and deadlines.

Compensation & Benefits

The anticipated salary is $225,000, with additional compensation and benefits available as applicable.
