Job DescriptionTechnology Intellectual Property Transactions – Mid-Level Associate Attorney

Direct Counsel is seeking a mid-level Associate Attorney to join a leading national law firm’s Intellectual Property Transactions & Strategies group. The ideal candidate will have substantial experience handling technology and intellectual property transactions, including licensing, strategic agreements, and IP support for M&A and other corporate transactions.

Qualifications

• 3–6 years of experience handling technology and intellectual property transactions.

• Solid experience with technology and intellectual property licensing and other technology transactions.

• Experience providing IP support for M&A and other corporate transactions, including intellectual property and technology due diligence.

• Experience drafting and negotiating:

  • Joint development, collaboration, and other strategic alliance agreements.

  • Technology and intellectual property licenses and services agreements, including software-as-a-service (SaaS) agreements.

  • Distribution agreements, including OEM, VAR, and other reseller agreements.

• Experience with open-source software license terms strongly preferred.

• Experience addressing intellectual property issues involving artificial intelligence technology and tools strongly preferred.

• Outstanding academic credentials and comparable law firm experience.

• Excellent written and verbal communication skills.

• Admission to the relevant state bar, or eligibility to obtain admission promptly.

• Deal sheet required.

Responsibilities

• Advise clients on technology and intellectual property transactions.

• Draft, review, and negotiate technology and IP licensing agreements.

• Support M&A and other corporate transactions through IP and technology due diligence.

• Draft and negotiate strategic collaboration, joint development, services, and distribution agreements.

• Advise on open-source software licensing and related intellectual property considerations.

• Counsel clients regarding IP issues arising from artificial intelligence technologies and tools.

• Work collaboratively with attorneys and clients to structure and execute complex technology transactions.

Compensation & Benefits

The anticipated salary range is $260,000–$390,000, depending on experience, skills, qualifications, and geographic market. The firm offers a comprehensive benefits package.
