Direct Counsel is seeking a Senior Attorney to join a leading Am Law firm’s Technology Corporate practice, advising on securities compliance and regulatory matters for a sophisticated client base. This opportunity is ideal for an attorney with substantial experience in federal and state securities laws who is looking to leverage their Blue Sky expertise across a range of corporate transactions and financing activities.
Responsibilities & Qualifications:

Advise clients on federal securities law exemptions, state Blue Sky laws, broker-dealer regulations, and related compliance matters.

Support securities offerings, private company financings, investment funds, capital markets transactions, and other securities matters.

Apply strong working knowledge of Regulation D, Section 4(a)(2), Rule 701, Regulation A, Rule 144, and applicable state securities requirements.

Prepare and oversee Form D and state securities filings through the NASAA Electronic Filing Depository (EFD).

Bring significant relevant experience, strong academic credentials, and excellent written and verbal communication skills.

Maintain relevant bar admission or be eligible to obtain admission promptly.

Salary: $385,000+
