Direct Counsel is seeking a Private Companies Associate Attorney with 3–6 years of experience to join a leading Am Law 100 law firm and its highly regarded Private Companies practice.

Position Overview
The ideal candidate will have substantial experience advising early-stage and growth-stage companies, particularly venture-backed businesses, throughout their growth cycle. This role offers the opportunity to advise high-growth companies and their investors on sophisticated corporate matters while contributing to the continued development of a national private companies practice.
Responsibilities
- Counsel early-stage and growth-stage companies on a broad range of general corporate matters.
- Advise venture-backed companies throughout their growth cycle, from formation through later-stage development and liquidity events.
- Represent companies and investors in venture capital financings.
- Advise clients on liquidity events and other strategic corporate transactions.
- Draft, review, and negotiate corporate and transactional documents.
- Provide day-to-day legal and strategic advice to high-growth companies and their investors.
- Work collaboratively with attorneys across corporate and transactional practices.
- Develop and maintain strong client relationships.
- Participate in speaking engagements and other business development initiatives.
- Contribute to the growth and development of a national private companies practice.
Qualifications
- 3–6 years of substantial corporate experience at a national or international law firm.
- Significant experience working with early-stage and growth-stage companies.
- Deep experience counseling venture-backed companies on general corporate matters.
- Experience with venture capital financings and liquidity events.
- Strong understanding of the legal and business needs of high-growth companies and their investors.
- Excellent drafting, analytical, communication, and client service skills.
- Strong academic credentials from a nationally recognized law school.
- Entrepreneurial mindset and interest in developing client relationships and contributing to practice growth.
- Ability to work effectively in a collaborative, team-oriented environment.
- J.D. from an accredited law school.
- Admission to practice in the applicable jurisdiction, or eligibility for admission, required.
Compensation
The anticipated salary range for this position is $260,000–$390,000 annually, depending on geographic location, applicable experience, skill set, and other relevant factors.
